1. Agreement to Terms

By accessing or using the ephyrIOs platform ("Service") available at ephyrios.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("User") and ephyrIOs ("we," "us," or "our"), operated at ephyrios.com by Joseph Robin Edwards, based in Sweden, European Union.

2. Description of Service

ephyrIOs is a Software-as-a-Service (SaaS) platform that enables organizations to:

Monitor and track data transfer volumes across their infrastructure and digital operations.
Measure the estimated carbon emissions associated with data transfer activity.
Access offset options to compensate for data-related emissions through verified environmental programs.
Generate reports on data emission footprints for internal or external sustainability purposes.

The Service is provided for commercial and professional use. Features and capabilities may evolve over time and are subject to change with reasonable notice.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Confidentiality and Non-Disclosure

By accepting these Terms and accessing the Service, you agree to the following binding confidentiality obligations. This section constitutes a Non-Disclosure Agreement ("NDA") between you and ephyrIOs, incorporated into and forming part of these Terms.

4.1 Definition of Confidential Information

"Confidential Information" means any and all non-public information disclosed to you through or in connection with the Service, including but not limited to:

The design, architecture, features, functionality, and user interface of the Service.
Data models, algorithms, emission calculation methodologies, and offset logic.
Technical infrastructure, APIs, integrations, and implementation details.
Business strategies, roadmaps, pricing, and commercial plans.
Beta features, unreleased functionality, and works in progress.
Any data, metrics, or outputs generated by or derived from your use of the Service.

4.2 Obligations

You agree to:

Keep all Confidential Information strictly confidential and not disclose it to any third party without prior written consent from ephyrIOs.
Use Confidential Information solely for the purpose of evaluating and using the Service under these Terms.
Apply at least the same degree of care to protect Confidential Information as you apply to your own confidential information, but no less than reasonable care.
Not reproduce, publish, summarize, or otherwise communicate Confidential Information to any person, entity, media outlet, or online platform.

4.3 Exceptions

Confidentiality obligations do not apply to information that:

Was already publicly known at the time of disclosure through no breach of these Terms.
Becomes publicly known after disclosure through no act or omission on your part.
Was independently developed by you without reference to the Confidential Information.
Is required to be disclosed by applicable law or court order — in which case you must notify ephyrIOs promptly in writing before disclosure, to the extent permitted by law.

4.4 Duration

These confidentiality obligations remain in effect for the duration of your access to the Service and for a period of three (3) years following termination or expiry of your access, regardless of the reason for termination.

4.5 Remedies

You acknowledge that any breach or threatened breach of this Section may cause irreparable harm to ephyrIOs for which monetary damages would be an inadequate remedy. ephyrIOs shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law.

5. Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials.
All activities occurring under your account.
Notifying us immediately of any unauthorized access or suspected security breach through our contact form (all messages are delivered to our monitored info inbox).

ephyrIOs reserves the right to suspend or terminate accounts found to violate these Terms.

6. Subscription and Payment

6.1 Beta Program

Currently in 'Beta' stage - this service is provided free of charge, as-is, for evaluation purposes, and that features may change or be discontinued without notice.

7. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

Use the Service to violate any applicable law or regulation, including EU data protection legislation.
Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
Reverse engineer, decompile, or disassemble any part of the Service.
Use the Service to transmit malware, spam, or harmful code.
Resell, sublicense, or transfer your access rights without prior written consent.
Use the Service in a manner that impairs its availability or performance for other users.

8. Intellectual Property

All content, software, trademarks, and technology comprising the Service are the exclusive property of ephyrIOs or its licensors. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription period.

Any feedback, suggestions, or ideas you provide to ephyrIOs may be used by us without restriction or compensation to you.

9. Your Data

You retain ownership of all data you upload, transmit, or generate through the Service ("Customer Data"). By using the Service, you grant ephyrIOs a limited license to process your Customer Data solely for the purpose of providing and improving the Service, in accordance with our Privacy Policy.

ephyrIOs will not sell your Customer Data to third parties.

10. Offset Programs

ephyrIOs may facilitate access to third-party carbon offset or environmental compensation programs. ephyrIOs does not guarantee the certification, validity, or environmental impact of any third-party offset program. It is your responsibility to independently verify any offset claims made through third-party providers before relying on them for compliance or reporting purposes.

11. Service Availability

ephyrIOs aims to provide high availability of the Service but does not guarantee uninterrupted, error-free access. Scheduled maintenance will be communicated in advance where practicable. ephyrIOs is not liable for any disruption caused by factors outside its reasonable control, including internet outages, force majeure events, or third-party infrastructure failures.

12. Limitation of Liability

To the maximum extent permitted by applicable EU law:

ephyrIOs' total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
ephyrIOs shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by ephyrIOs' negligence or willful misconduct.

13. Indemnification

You agree to indemnify and hold harmless ephyrIOs and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms, misuse of the Service, or infringement of third-party rights.

14. Termination

Either party may terminate the subscription agreement at any time. Upon termination:

Your access to the Service will cease at the end of the current billing period (unless terminated for cause, in which case access ceases immediately).
ephyrIOs will retain your Customer Data for 30 days post-termination, after which it will be deleted unless legally required to retain it longer.
Sections 4, 8, 9, 12, and 13 survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the European Union and the jurisdiction in which ephyrIOs is registered. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of the jurisdiction in which ephyrIOs is headquartered.

EU consumers retain any mandatory rights under applicable consumer protection laws, including access to EU online dispute resolution platforms at https://ec.europa.eu/consumers/odr.

16. Changes to These Terms

ephyrIOs may update these Terms at any time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
